Version 1.0, effective 29 September 2026. Licensor: Dappros Ltd, a company registered in England and Wales under company number 11455432, with its registered office at 38 Munden Grove, Watford, WD24 7EE, United Kingdom ("Dappros", "we"). Licensee: the person or organisation that installs or runs the Software ("you").
This agreement governs your use of the Ethora Server software distributed as container images, installer scripts, AMIs and related files (the "Software"), including the API, admin panel, XMPP server with Dappros modules, and any optional modules you are licensed to run (the "Paid Features"). Use of the Software's Core functionality without a license key is governed by the Ethora Core Software License (https://ethora.com/legal/ethora-core-license); this agreement adds the rights described below for as long as you hold a valid license key. It does not cover the separately licensed open-source components listed in section 9, which remain under their own licenses.
Subject to this agreement and to a valid license key, Dappros grants you a non-exclusive, non-transferable, revocable license to install and run the Software on servers you control, for the domain or domains named in your license key, for the term and within the limits (users, apps, instances) stated in the key. A trial key grants the same rights for the trial period only.
You must not: (a) copy, distribute, sell, rent or sublicense the Software or provide it as a service to third parties except as part of your own product or service to your own users; (b) reverse engineer, decompile, disassemble or otherwise attempt to derive source code from the Software, except to the extent applicable law expressly permits; (c) remove, alter or circumvent the license key mechanism or any notice in the Software; (d) use the Software in breach of applicable law, including data protection and export control law; (e) run the Software on domains not covered by your key.
The Software checks the validity of the license key locally. Where call-home is enabled, it also reports the information described in the Privacy and Telemetry Notice to Dappros so that keys can be renewed and instance counts verified. If a key expires or stops being valid, the Paid Features it enables remain available for the grace period described in the documentation. After the grace period the installation continues to run as Ethora Core under the Ethora Core Software License. Core functionality is not reduced and has no time limit, but the Paid Features are no longer available and the Ethora Core limits per server apply: 5 apps and 500 end user accounts for an unregistered installation, and 10 apps and 5,000 end user accounts for an installation registered with Dappros free of charge (see the feature schedule at https://ethora.com/legal/feature-schedule). Reaching a limit prevents the creation of further apps or user accounts; it does not affect existing apps, accounts, messages or files.
The Software is licensed, not sold. Dappros and its licensors retain all rights, title and interest in the Software, including all intellectual property rights. Feedback you provide may be used by Dappros without obligation.
Data you and your users store in the Software (messages, files, user records) belongs to you or your users and stays on your servers. Dappros has no access to it and does not receive it under this agreement. Where Dappros processes personal data on your behalf under a support engagement, the terms of that engagement apply.
Support is provided according to the Support Policy published with the Software, or according to your enterprise agreement where you have one. Updates are made available through the same distribution channels; you are responsible for installing them.
Except as expressly stated in your enterprise agreement or order, the Software is provided "as is". To the extent permitted by law, Dappros disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Dappros is not liable for indirect, consequential or special damages, loss of data, loss of profit or loss of business. Dappros's total liability under this agreement is limited to the lesser of (a) the amounts you paid for the license in the twelve months before the claim and (b) 100,000 GBP. Nothing in this agreement limits liability that cannot be limited by law.
The Software includes or depends on open-source software, including ejabberd (GNU GPL v2), MongoDB, MySQL, Redis, MinIO, Node.js and the packages listed in the third-party notices file shipped with the Software and published at https://ethora.com/legal/third-party-notices. Those components are licensed under their own terms, which take precedence for those components.
This agreement runs for the term of your license key, including any grace period. Dappros may terminate it if you breach section 3 and do not cure the breach within 30 days of notice. When this agreement ends, your right to use the Paid Features ends. Your continued use of the Software's Core functionality is governed by the Ethora Core Software License, and you keep your own data. Sections 5, 6, 8 and 11 survive termination.
This agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. It is the entire agreement about the Software and replaces any earlier terms. If any provision is unenforceable, the rest remains in force. Dappros may update this agreement for future versions of the Software; the version shipped with a release applies to that release.
