Ethora Core Software License Agreement

Version 1.0. Effective 29 September 2026.

This agreement governs use of the proprietary Ethora Core server software distributed by Dappros Ltd. It allows qualifying Core functionality to be used without a subscription for the release supplied under this agreement. Paid features and support require separate terms. Read it before installing or using the software.

1. Parties and acceptance

This agreement is between Dappros Ltd, a company registered in England and Wales under company number 11455432, with its registered office at 38 Munden Grove, Watford, WD24 7EE, United Kingdom ("Dappros", "we", "us"), and the person or legal entity installing or using the Software ("you"). If you act for an organisation, you confirm you have authority to bind it. By downloading, installing, copying or using the Software, you accept this agreement. If you do not accept it, do not use the Software.

The Software is intended for business and professional use. If you are a consumer, statutory consumer rights apply and prevail to the extent they cannot lawfully be excluded.

2. Definitions

Software means the Ethora Core server programs, container images, compiled or bytecode components, accompanying proprietary configuration templates and documentation that Dappros distributes with a release expressly designated as subject to this agreement. It excludes Third Party Materials and Separate Materials as defined below.

Release means an identifiable version of the Software, identified by a version tag or image digest. A mutable tag such as latest identifies the Release actually obtained at the time of download, rather than granting rights to later images published under that tag.

Core Features means the functions made available without a paid entitlement in the applicable Release, subject to any limits disclosed in that Release's documentation or licence information. The precise features and limits may differ between Releases.

Paid Features means functions designated by Dappros as requiring a valid paid subscription, trial entitlement or other separate authorisation. Entitlement means such an authorisation, including a licence key.

Separate Materials means SDKs, deployment scripts, sample code or other components for which an accompanying file or repository states a different licence. Third Party Materials means software or content provided by third parties and distributed with or used by the Software.

3. Free Core licence

Subject to this agreement, Dappros grants you a non-exclusive, worldwide, royalty-free licence to download, install, run and make the copies reasonably necessary to use the Core Features of the Release you obtained for your own internal purposes and to provide applications and services to your own customers and end users. You may operate multiple instances and use the Software commercially, subject to the technical limits and feature entitlements of that Release. You may allow your employees, contractors and hosting providers to operate it for you, provided you remain responsible for their compliance with this agreement.

The licence for a particular Release has no fixed end date. It is subject to termination under section 11. No paid subscription, online registration or routine connection to a Dappros licence server is required merely to use the Core Features, unless the description of that Release expressly states otherwise before download. Dappros may cease distributing a Release, but doing so does not by itself terminate a valid licence already granted for that Release.

This licence gives you the right to use the Software as specified here; ownership is not transferred. There is no promise to supply any future Release, update, fix, feature or support.

Dappros reserves the right to display a "Powered by Ethora" notice, with a link to https://ethora.com/, on the default user-facing surfaces of the Software (for example the web chat and the admin panel) in Releases used under this free Core licence, and to make its removal a Paid Feature. Where a Release shows such a notice, you must not remove or hide it except as a Paid Feature permits. A Release that shows no such notice grants no promise that later Releases will not.

Core Features and their limits

The Core Features and the limits of each edition are published in the feature schedule that accompanies each Release (published at https://ethora.com/legal/feature-schedule and shipped as docs/legal/FEATURE_SCHEDULE.md in the installer repository). Registering an installation with Dappros (domain name and e-mail address) is optional, free, and raises the limits as the feature schedule states; it does not change the licence.

4. Paid Features and trials

Paid Features may be enabled only as permitted by a valid Entitlement and its applicable order, subscription or trial terms. A trial lasts for its stated period. Its expiry does not, by itself, terminate the licence to use Core Features. Expiry or loss of an Entitlement may remove access to Paid Features or administrative actions that require that Entitlement, in accordance with the applicable Release's published behaviour. Dappros does not promise uninterrupted operation of any particular function after an Entitlement ends.

If an order or separately signed agreement conflicts with this agreement about Paid Features, the order or signed agreement controls for those Paid Features. Nothing in this agreement promises an SLA, support, maintenance, indemnity or security update commitment.

5. Restrictions

Except as permitted by this agreement or applicable law, you must not: (a) sell, sublicense, publish, distribute or make available the proprietary Software or its container images to unrelated third parties, including through a public registry; (b) represent the Software as your own server product; (c) remove or obscure proprietary notices; (d) bypass or tamper with technical controls that restrict Paid Features or licence limits; or (e) use the Software in violation of applicable law or third-party rights.

You may give access to applications and services powered by the Software to your customers and end users. This does not permit distribution of the proprietary Software itself. You may make backups, use private registries and permit your contractors or hosting providers to hold copies solely to operate it on your behalf, subject to reasonable confidentiality and access controls.

You must not reverse engineer, decompile or disassemble the Software except to the extent such activity is expressly permitted by applicable law and cannot lawfully be restricted by agreement. Nothing here limits rights to make necessary backup copies, observe, study or test lawful operation, or obtain interoperability information where those rights cannot lawfully be excluded. This agreement does not restrict independent software development or use of documented APIs.

6. Separate and third-party materials

Separate Materials are governed by their own accompanying licences, even when shipped beside the Software. Third Party Materials remain subject to their respective licence terms and notices, including any rights to source code or attribution those terms provide. Where a third-party licence grants broader rights in its own material, this agreement does not reduce them. Dappros will make applicable notices available with the Release or at a clearly identified location.

7. Data, privacy and security

You control your deployment and are responsible for its configuration, access controls, backups, compliance and the data processed through it. The Software may include optional functions that contact Dappros services; those functions and any related data handling must be described separately in the applicable documentation and privacy notice. This agreement does not authorise Dappros to access your installation or customer data. If Dappros processes personal data for you under a separate service or support arrangement, the parties should agree any required data processing terms.

8. Updates and changes

Dappros may release new versions with different features, limits, licence terms or prices and may discontinue distributing older versions. This agreement continues to govern the particular Release supplied under it unless you separately accept other terms. Installing a new Release may require acceptance of its then-applicable terms. Dappros will identify material licensing changes in the new Release's accompanying information (docs/RELEASE_NOTES_OPERATORS.md). A mutable image tag can resolve to a new Release; you should pin a version or digest when repeatable deployment matters.

No change posted to a website retroactively amends the licence already granted for an earlier Release. Dappros may change separately purchased subscription terms only as those terms allow.

9. Intellectual property and feedback

Dappros and its licensors retain all rights in the Software and the Ethora name and marks. You retain rights in your data and independently developed applications and integrations. No trademark licence is granted except the limited right to identify truthfully that your application uses Ethora. If you voluntarily provide product feedback, Dappros may use it without payment or obligation to you, but this does not transfer ownership of your code or confidential information.

10. Warranty and liability

The free Core Features are supplied without a contractual promise of availability, support, fitness for a particular purpose or freedom from defects, to the extent permitted by law. You should test the Software before production use and maintain appropriate backups. Any express promises made in a separate paid agreement remain effective under that agreement.

Nothing in this agreement excludes or restricts liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or restricted. Subject to that sentence and to applicable law, Dappros is not liable under this free Core licence for lost profits, revenue, goodwill, business opportunity or data, or for indirect or consequential loss. Dappros's total liability arising under this free Core licence is limited to £1,000. The exclusions and limit apply only insofar as reasonable and enforceable under applicable law. Liability under a paid agreement is governed by that agreement.

11. Termination

You may end this agreement at any time by ceasing use and deleting copies of the proprietary Software, other than copies you are legally required to retain. Dappros may terminate your rights in a Release if you materially breach this agreement and do not remedy the breach within 30 days after written notice describing it, where it can be remedied. Dappros may terminate immediately for deliberate unauthorised redistribution or deliberate circumvention of Paid Feature controls, subject to applicable law. On termination, you must stop using that Release and delete its proprietary copies within a reasonable period. Sections 5, 6, 9, 10, 11 and 12 survive to the extent needed to give them effect. Expiry of a paid subscription alone does not terminate the free Core licence.

12. General

This agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory rights that apply to you. If a provision is unenforceable, the remainder remains effective. Failure to enforce a provision is not a waiver. You may not assign this agreement without Dappros's prior written consent, except as part of a sale of substantially all of your relevant business and assets, provided the successor accepts this agreement. Dappros may assign it to a successor to the Ethora business. This agreement and any applicable separate order constitute the agreement about the Software; they do not override non-excludable statutory rights or the separate licences described in section 6.
